VACASA TERMS OF SERVICE

These Terms of Service (these “Terms”) apply to Vacasa.com, any subdomain of Vacasa.com, any applications for mobile devices and other offerings, and any other websites operated by Vacasa LLC or any subsidiary or affiliated entity on which these Terms are posted or linked (collectively, the “Site”).

The Site is operated by Vacasa LLC, a subsidiary of Casago Holdings LLC, and an affiliate of Casago International LLC (“Casago”), and is referred to in these Terms as “we,” “us,” “our,” or “Vacasa”. The terms “user”, “you”, and “your” refer to the person using or accessing the Site.

By using or accessing the Site in any manner, you agree to comply with and be legally bound by these Terms. If you do not fully agree to these Terms without modification, you are not authorized to use or access the Site. You should carefully review these Terms, which constitute a legally binding agreement between you and Vacasa.

You are not authorized to access the Site unless you are at least 18 years old and are able to enter into legally binding contracts.

These Terms generally apply to your use of the Site and our services in relation to properties managed by Vacasa and offered for your review and booking on the Site. Vacasa also offers properties on the Site that are managed by Casago franchisees and other independent third party property managers (each are “Other Hosts”). Where applicable, the Terms specific to properties managed by Other Hosts are set forth below.

Revisions

We may change, add to, or otherwise modify these Terms in the future without prior notice. We will list the date of the last revision to these Terms at the top of this page, and any revisions will take effect upon posting. You agree that your continued use of or access to the Site after any revision constitutes your acceptance of the revised version of these Terms. Be sure to visit this page periodically to review the most current version of these Terms.

Privacy Policy and Cookie Policy

Vacasa values your privacy. Please click here to review our current Privacy Policy and Cookie Policy. The Privacy Policy and Cookie Policy also govern your use of and access to the Site and are incorporated by reference into these Terms.

Limited License to Access and Use the Site

Provided you comply with these Terms, Vacasa grants you a limited, revocable, non-transferable and non-exclusive right to access and use the Site for, and limited to, any of the following purposes: searching for a vacation or short-term rental; booking or inquiring about booking a vacation or short-term rental; if you are an owner or prospective owner of a property, researching or inquiring about using Vacasa services; logging into the owner portal for a property for which Vacasa provides rental management or marketing services pursuant to a contract with you; researching vacation destinations; taking any of the above actions for another person for whom you are legally authorized to act; or any other purpose that is clearly stated and expressly permitted on the Site.

Prohibited Activity

Any use of the Site for any purpose that is not expressly permitted or otherwise in accordance with these Terms is prohibited. Prohibited uses of the Site include, without limitation, the uses listed below. In connection with the use of or access to the Site, you agree not to do any of the following:

• use the Site or its contents for any commercial purpose, except as specifically authorized by us;
• copy, transmit, upload, or store any part of the content of the Site for any purpose not expressly permitted by these Terms;
• use the Site or its contents, or attempt to use the Site or its contents, to violate, circumvent, or infringe the rights of Vacasa or any other person or entity, including without limitation any intellectual property, contract, privacy, or publicity right;
• deep-link to any portion of the Site without our express written consent;
• use any robot, script, scraper, spider or other manual or automated means or process to access, scrape, copy, crawl, collect, monitor, or aggregate the content of the Site or any portion of the Site, except as expressly permitted by us (provided however that a limited exception to the foregoing prohibited action is granted to bona fide, general-purpose search engines that use tools to gather information for the sole purpose of displaying hyperlinks to the Site, provided they do so from a stable IP address or range of IP addresses using an easily identifiable agent and otherwise comply with these Terms, and further provided that the term “bona fide, general-purpose search engine” does not include a website, search engine, or other service that provides classified listings or property rental advertisements or which is in the business of providing vacation rental management or marketing services or other services that compete with services Vacasa offers and that is not otherwise authorized by Vacasa);
• “frame,” “mirror,” or otherwise replicate or incorporate any portion or aspect of the Site, including without limitation Vacasa’s name, logo, trademarks, or proprietary information, into any other website without our express written consent;
• sell, offer to sell, transfer, or license any portion of the Site or its contents in any form to third parties, without our express written consent;
• use the Site in a manner or for a purpose that violates any national, state or provincial, local, or other law or regulation, or any order of a court;
• use content from the Site, including AI-generated content from our services, to develop machine learning models or related AI technology;
• use the Site in a fraudulent manner or under false pretenses, including without limitation making a reservation or reservation inquiry under a false name or address or incorrect age, using a method of payment that you are not authorized to use to pay for accommodation, or taking action that may be considered phishing;
• use the Site to identify, contact, or solicit a homeowner or guest for the purpose of (1) booking or soliciting a booking of a home independent of the services offered by Vacasa or Other Host or (2) soliciting an owner or guest to use any third-party service that is competitive with Vacasa or Other Host;
• use the Site to post or transmit material that is unlawful, threatening, abusive, libelous or defamatory, obscene, indecent, or sexually explicit, that illegally discriminates or promotes illegal discrimination against any individual or group, or that promotes illegal activities;
• attempt to modify, adapt, decipher, translate, decompile, disassemble, edit or reverse engineer any of the software used by us in connection with the Site;
• take any action that, in our sole discretion, adversely affects or could adversely affect the performance or function of the Site or any system used by us on the Site, or that places an unreasonable load on our servers or infrastructure;
• threaten to use the Site to leave negative feedback in an attempt to force Vacasa to provide a refund or compensation if you lack an objectively reasonable belief that you are entitled to such refund or compensation under these Terms or any other agreement between you and Vacasa; or
• solicit, encourage, or assist any person in doing, or attempting to do, any of the foregoing actions.

Proprietary Rights and Ownership

All contents of the Site are protected by the copyright, trademark, and other intellectual property laws of the United States and foreign countries and by international conventions. You acknowledge and agree that the contents of the Site are the exclusive intellectual property of Vacasa or the applicable rights owner.

Use of Artificial Intelligence (AI)

We are dedicated to leveraging advanced technologies whenever possible to enhance your experience on our Site. Our integration of artificial intelligence, machine learning, and natural language processing (“AI”) aims to optimize our services, provide personalized content, and facilitate our interactions with you.

Our utilization of AI on our Site and in our services can include, but is not limited to, the following:

• Personalized Recommendations. We may use AI algorithms to learn from your browsing behavior, reservation history, and preferences to offer tailored property and destination suggestions that meet your interests.
• Dynamic Pricing. We may use AI-driven dynamic pricing models to adjust prices in real-time based on market demand, consumer behavior, and other relevant factors, and to ensure competitive rates that maximize value for our guests and other stakeholders.
• Chatbots and Virtual Assistants. We may use AI-powered chatbots and virtual assistants to provide immediate and continuous support for inquiries, reservation assistance, and customer service, which enhances your experience by providing prompt, accurate, and consistent responses.
• Content Creation. We may use AI to generate property descriptions, reviews, and other content, ensuring informative and engaging material that aids in your decision-making.
• Image Analysis. We may use AI tools to analyze and optimize images and videos to ensure quality control for the properties listed on the Site, to enhance visual appeal, and to ensure high-quality media representation on our Site.
• Fraud Prevention. We may use AI to monitor and review transaction history and user behavior to detect and prevent fraudulent activities and to safeguard our integrity.
• Predictive Analytics. We may use AI models to forecast travel trends and booking behavior, enabling us to anticipate your needs and to optimize service offerings.
• Voice Recognition. We may use AI voice recognition to allow you to search for properties and to navigate our Site using voice commands.
• Voice Generation. We may use AI voice generation to provide information and respond to your questions.
• Sentiment Analysis. We may use AI to evaluate customer reviews and feedback to gauge sentiment and improve our service quality

By accessing and using our Site, you consent to the use of AI as outlined in this section. If you disagree with these Terms, you should discontinue use of our Site and services. As AI technology evolves, we will update our AI-related practices. Any significant changes will be communicated through updates to these Terms.

User Accounts

To access certain Vacasa services via the Site, we may permit or require you to register for a Vacasa user account. If you choose to register, you agree to provide us with true, accurate, current, and complete information, and to update such information if it changes. You agree (1) to safeguard your Vacasa login identification and password; (2) not to disclose your login identification or password to any third party without our express written permission; (3) to take sole responsibility for any activity taken under your Vacasa account, whether or not you specifically authorized the activity; and (4) to notify us immediately and select a new login identification and password if you believe your password for a Vacasa account or an email account you have used to register with Vacasa has been compromised, or if we notify you that we suspect unauthorized activity on your account. We reserve the right to terminate any user account, at any time, in our sole discretion.

Reviews and User Content

We may, in our sole discretion, permit you to post, submit, upload, or transmit via the Site a review or other content generated by you. If you post, submit, upload, or transmit a review or other content to us via the Site or for potential use on the Site (collectively, “Submissions”), you grant Vacasa a non-exclusive, perpetual, royalty-free, transferable and fully sub-licensable worldwide license (1) to use, reproduce, translate, modify, adapt, access, view, distribute, publish, transmit, publicly display, and create derivative works from the Submissions in any media, now known or hereafter devised, for any purpose, and (2) to use the name that you submit in connection with the Submissions. You agree and acknowledge that we may choose to provide attribution of Submissions, at our sole discretion. You further grant Vacasa the right to pursue at law, and as your agent, any person or entity that violates your or our rights in the Submissions by breaching these Terms. Vacasa does not claim any right of ownership in the Submissions, and nothing in these Terms shall be deemed to remove or restrict any rights you have in the Submissions.

By making any Submissions to, via, or for the Site, you represent and warrant that (1) you have full rights to the content of the Submissions, either because you are the sole and exclusive owner of such content or because you have been granted all necessary rights, licenses, or consents to such content, and (2) that the Submissions do not violate any provision of these Terms or any Vacasa content guidelines that may be posted on the Site (“Vacasa Content Guidelines”).

Vacasa has the absolute discretion (but not the obligation) to pre-screen, remove, or edit any reviews or other user-generated content that may be posted on the Site. We do not guarantee and are not responsible for the accuracy, non-infringement, or legality of any review or other user-generated content that may appear on the Site.

Transaction Specific Terms

If you choose to reserve a vacation rental through the Site, to use Vacasa or Other Host to provide rental management or marketing and booking services on your behalf, or to undertake certain other transactions that may be accessible from the Site, you acknowledge and agree that you may be required to enter into one or more separate agreements or waivers, which may contain different or additional terms and conditions (“Transaction Specific Terms”). If a conflict exists between these Terms and the Transaction Specific Terms, the Transaction Specific Terms will control.

Service Fee

We may charge a service fee to guests (a “Service Fee”) when booking a property managed by Vacasa or by Other Hosts through our Site. The Service Fee is ordinarily calculated as a percentage of the total amount of rent and fees, plus any applicable sales or other taxes required to be collected on such Service Fee, but excludes any applicable taxes on all other portions of a reservation.

The Service Fee will be displayed to you at the time of booking and before final check-out. The Service Fee is earned by us at the time of booking and is non-refundable.

International Travel

If your travel plans involve international travel, you agree to be responsible for ensuring that you have all necessary travel documents (such as passports and visas), that you meet all foreign entry requirements, and that you have obtained any required medical guidance, medications, and inoculations. Vacasa shall not be liable for any liability for travelers who are refused boarding onto an international common carrier or entry into (or transit through) a country for any reason.

Although most travel is completed without serious incident, travel to certain destinations may involve a higher level of risk than others. We strongly suggest that guests whose plans involve travel outside the United States review, prior to booking, travel warnings, advisories, restrictions, announcements, cautions, and prohibitions issued by the United States Government. International travel information is available at the United States State Department website (www.state.gov) and at other United States Government websites, including www.tsa.gov, www.dot.gov, www.treas.gov/ofac, www.cbp.gov, www.faa.gov, and www.cdc.gov.

Travelers who are citizens or residents of countries other than the United States should review any travel warnings or advisories issued by the governments of their home countries.

Foreign Currencies and International Transactions

Vacasa may, but is not obligated to, display rental amount and other fees for vacation rentals in the United States in foreign currencies, or display fees for vacation rentals outside the United States in United States Dollars. Any display of fees in foreign currencies is provided as a convenience and for informational purposes only and does not necessarily represent your final cost. For Vacasa managed properties, Vacasa may charge a currency conversion fee. You will be notified of the currency in which you will be charged for a vacation rental, and the amount of any Vacasa currency conversion fee. You will be responsible for any currency conversion processing costs or international transaction fees your credit card provider charges.

Liability and Warranty Disclaimer

PLEASE READ THIS SECTION CAREFULLY. THIS SECTION LIMITS VACASA’S LIABILITY TO YOU FOR ISSUES THAT MAY ARISE IN CONNECTION WITH YOUR USE OF THE SITE.

IF YOU CHOOSE TO ACCESS, DISPLAY, OR USE THE SITE, YOU DO SO AT YOUR OWN RISK. THE INFORMATION PUBLISHED ON THE SITE MAY CONTAIN ERRORS, INCLUDING RESERVATION AVAILABILITY ERRORS, PRICING ERRORS, AND INACCURATE OR INCOMPLETE DESCRIPTIONS OF ACCOMMODATIONS OR LOCATIONS. VACASA DOES NOT GUARANTEE THE ACCURACY OF THE INFORMATION PUBLISHED ON THIS SITE AND DISCLAIMS ALL LIABILITY FOR ANY ERRORS OR INACCURACIES IN SUCH INFORMATION. THE SITE IS OFFERED “AS IS” WITHOUT EXPRESS OR IMPLIED WARRANTY OF ANY KIND. WITHOUT LIMITING THE FOREGOING, VACASA SPECIFICALLY DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. VACASA DOES NOT WARRANT THAT THE SITE WILL BE AVAILABLE ON A SECURE, UNINTERRUPTED OR ERROR-FREE BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE AND ACKNOWLEDGE THAT YOU BEAR THE ENTIRE RISK ARISING OUT OF YOUR ACCESS TO OR USE OF THE SITE. IN NO CASE SHALL VACASA LLC OR ITS SUBSIDIARIES OR AFFILIATES (INCLUDING BUT NOT LIMITED TO THEIR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS) BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, OR FOR ANY DAMAGES FOR PERSONAL OR BODILY INJURY, EMOTIONAL DISTRESS OR DAMAGE TO PROPERTY, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, DISPLAY OF, OR USE OF THE SITE, WHETHER BASED ON A THEORY OF WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF VACASA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

IF VACASA IS FOUND LIABLE FOR ANY LOSS OR DAMAGE THAT ARISES OUT OF YOUR USE OF THE SITE, THEN IN NO EVENT SHALL VACASA’S LIABILITY, IN THE AGGREGATE, EXCEED (1) THE AMOUNT SPECIFIED IN A SEPARATE AGREEMENT THAT APPLIES TO THE SPECIFIC TRANSACTION YOU ENGAGED IN, OR (2) IF THERE IS NO APPLICABLE SEPARATE AGREEMENT, ONE HUNDRED UNITED STATES DOLLARS ($100) OR ITS EQUIVALENT IN FOREIGN CURRENCY.

THE LIMITATION OF LIABILITY SET FORTH HEREIN REFLECTS THE ALLOCATION OF RISK BETWEEN THE PARTIES AND IS A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND VACASA.

Indemnification

You agree to defend, indemnify, hold harmless and release Vacasa LLC and its affiliates, and any of their officers, directors, employees, agents, or rental owners, from and against all claims, causes of action, liabilities, demands, damages, or other costs or expenses of any kind, specifically including without limitation reasonable legal and accounting fees, brought by third parties as a result of or in any way connected with (1) your violation of these Terms, (2) your violation of the law or any rights of third parties, or (3) your access to or use of the Site.

Jurisdiction and Governing Law; Class Action Waiver

These Terms are governed by, and shall be interpreted in accordance with, the laws of the State of Oregon, USA, without regard to principles of conflicts of law. You and we consent to the exclusive personal jurisdiction and venue of the federal or state courts located in Portland, Oregon, for all disputes arising out of or relating to the use of or access to the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including without limitation this paragraph.

YOU AND WE AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION.

Assignment

You may not assign these Terms without Vacasa’s express written consent. Any attempt by you to assign these Terms without consent will be void and without effect. Vacasa may assign these Terms or any of its rights or interest in these Terms at any time, in its sole discretion, without your consent.

General Provisions

These Terms (together with any other terms and conditions referenced herein, and any different or additional terms that apply to specific transactions) constitute the entire agreement between you and Vacasa with respect to your use of and access to the Site, and supersede all prior or contemporaneous electronic, oral or written understandings or communications between you and Vacasa with respect to the Site.

Any failure by Vacasa to enforce any provision of these terms shall not be construed as a waiver of future enforcement of that provision or of any of Vacasa’s rights and privileges.

If any provision of these Terms is held invalid pursuant to applicable law, that provision will be enforced to the maximum extent possible and the other portions will be deemed valid, and so far as is reasonable and possible the intent of the parties hereto will be given full effect.

Other Hosts

For Other Hosts, who are users of the Site and who are subject to these Terms, and guests and other users booking stays at properties managed by Other Hosts, or users who interact with the Site in relation to Other Hosts, the following specific terms apply.

The Site is a Venue Only

The Site is a venue which allows Other Hosts and Guests to connect with one another. As used in these Terms, a “Guest” is a guest, or a potential guest, and any persons named on a booking reservation, who use our Site and any of the content or other services made available through it (including, booking a property or interacting or communicating through our service) and who is not using the Site or our services in their capacity as an Other Host. Both Guests and Other Hosts are “users” of the Site. We may offer online bookings or other tools or services to allow Other Hosts and Guests to communicate with each other and to enter into rental agreements or other transactions with each other. Rental agreements and similar transactions are only completed between Guests and the Other Hosts. For those properties for which Vacasa is not the property manager, Vacasa is not, and does not become, a party to any such contractual relationship with the Other Hosts and the Guests. You acknowledge and agree that the Guests and the Other Hosts will be responsible for performing the obligations of any such agreements and that Vacasa is not a party to such agreements. We disclaim all liability arising from or related to any such agreements, even if the Site or the use of our services facilitates booking a property with the Other Hosts. Other Hosts are not Vacasa’s service providers, employees, agents, or joint venture partners.

Other Hosts must include all fees and charges in their listing and may not collect any fees or charges not included in those listings. Other Hosts are responsible for ensuring that all such fees and charges accurately are displayed and that the terms and conditions applicable to any bookings of Other Hosts’ properties are clearly disclosed. Any Transaction Specific Terms, policies, or conditions that Other Hosts include in any supplemental agreements with Guests must: (i) be consistent with these Terms, our policies, and the information provided in the Other Hosts’ listings, and (ii) be prominently disclosed.

Other Hosts and Guest Reviews

Subject to any Vacasa Content Guidelines, Guests who have booked through our Site may submit reviews of Other Hosts’ properties, and Other Hosts are given the opportunity to view Guests’ reviews and to respond. In some instances, Other Hosts may be able to submit reviews of Guests’ stays. All reviews and responses must comply with these Terms and any Vacasa Content Guidelines. We may remove any review or response if we become aware or are notified that they do not comply with our Terms or any Vacasa Content Guidelines. We expressly disclaim any liability for or relating to any review or response. We will not edit or otherwise modify reviews or responses on behalf of a Guest or Other Host, and either may request us to remove their published reviews or responses.

We do not endorse, support, represent or guarantee the truthfulness, accuracy, or reliability of any Guest or Other Host content. We will remove content if we become aware or are put on notice that the content is illegal, we may reject or remove content that is alleged to infringe any third-party intellectual rights or does not comply with these Terms or and Vacasa Content Guidelines, and we may suspend or terminate a Guest’s account if we deem it necessary. If applicable, you will be notified of the reasons we have taken these measures and, in most cases, you will have the opportunity to appeal if you disagree.
